These Terms & Conditions (“Terms”) govern your access to and use of the LVL Square website and web application (the “Service”), operated by LVL Square LLC, a California limited liability company (“LVL Square,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. 1. User Accounts You agree to provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. 3. User-Generated Content You retain ownership of the content you post on LVL Square. By posting content, you grant LVL Square LLC a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, distribute, and publish such content solely for purposes of operating, improving, and promoting the Service. You are solely responsible for your content. LVL Square does not endorse or guarantee the accuracy of user-generated content. We reserve the right, but are not obligated, to remove or restrict any content at our sole discretion. 4. Prohibited Conduct You agree not to: • Violate any applicable laws or regulations • Post illegal, defamatory, harassing, hateful, infringing, or harmful content • Impersonate any person or entity • Interfere with or disrupt the Service • Attempt unauthorized access to accounts or systems • Use automated systems (bots, scrapers, etc.) without permission 5. Intellectual Property The Service and all original content, features, branding, logos, and software are owned by LVL Square LLC and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or exploit any portion of the Service without prior written permission. 6. Termination We may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease. 7. Disclaimer of Warranties The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, LVL Square LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation of the Service. 8. Limitation of Liability To the fullest extent permitted by law, LVL Square LLC, its members, managers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption. Our total liability for any claim arising out of or relating to the Service shall not exceed the greater of: (a) $100 USD, or (b) the amount you paid us in the 12 months preceding the claim (if any). 9. Indemnification You agree to defend, indemnify, and hold harmless LVL Square LLC, its members, managers, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of: • Your use of the Service • Your violation of these Terms • Your content • Your violation of any third-party rights 10. Governing Law These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. 11. Dispute Resolution and Arbitration Please read this section carefully. It affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through final and binding arbitration administered by a recognized arbitration provider under its applicable rules. The arbitration shall take place in the State of California, unless otherwise agreed by the parties. Judgment on the arbitration award may be entered in any court having jurisdiction. You and LVL Square LLC agree that: • Arbitration will be conducted on an individual basis only. • Class actions, class-wide arbitrations, private attorney general actions, and consolidated proceedings are not permitted. • Each party waives the right to a jury trial. Nothing in this section prevents either party from bringing an individual claim in small claims court, if eligible. 12. Revisions and Updates We may update these Terms at any time. If we make material changes, we may provide notice through the Service. Continued use of the Service after updates constitutes acceptance of the revised Terms. 13.
